1. Who we are
Matrixshift Technologies Inc. ("MatrixShift", "we", "us", "our") is incorporated in Canada and operates from Hong Kong. We are building MatrixShift, a platform for deploying specialized AI agents that work under human approval and review. These Terms of Service ("Terms") govern your access to and use of our website (the "Site").
2. Acceptance
By using the Site, joining the waitlist, subscribing to our newsletter, or submitting an inquiry, you agree to these Terms. If you are acting on behalf of an organization, you represent that you have authority to bind it, and "you" refers to that organization. If you do not agree, do not use the Site.
3. The product is in development
The Site describes a product that is being built. Descriptions of how MatrixShift works — its agents, approvals, governance, and pricing structure — describe the product's design and direction, not a service you can use today. Nothing on the Site is a binding offer, a warranty of future availability or functionality, or professional advice. What the product ships with, and when, may differ from what the Site describes.
4. Waitlist, newsletter, and inquiries
- Joining the waitlist creates no contract for the future product and no obligation on us to grant access, and no fee is charged for it.
- You agree to provide accurate contact information, and to submit only information you are entitled to share.
- We handle everything you submit as described in our Privacy Policy, and you can unsubscribe from any of our messages at any time.
5. Intellectual property
The Site and its content — text, design, graphics, and marks — belong to us or our licensors. You may view and share the Site for its intended informational purpose; you may not reproduce its content for commercial use, or use our name or marks to imply endorsement, without our written permission.
6. Acceptable use
You agree not to misuse the Site, including by attempting unauthorized access, probing or scanning for vulnerabilities, scraping at disruptive volume, submitting forms in bulk or through automation, introducing malicious code, or interfering with the Site's operation or availability.
7. Third-party links
The Site may link to third-party websites. We are not responsible for their content or practices.
8. Disclaimers
The Site is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Site, and our total aggregate liability for any claim arising out of or relating to the Site or these Terms is limited to CAD $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Disputes will be resolved by the courts of British Columbia, sitting in Vancouver, and the parties attorn to their exclusive jurisdiction.
11. Changes to these Terms
We may update these Terms from time to time — including replacing or supplementing them with product terms when MatrixShift launches. The "Last updated" date reflects the current version; material changes will be posted on this page.
12. General
These Terms are the entire agreement between you and us about the Site. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder stays in force; a failure to enforce a provision is not a waiver of it.
